SpA or Agency: which structure fits your entry into Chile

Before incorporating anything in Chile, it’s worth answering one question first: does the operation need an independent Chilean entity, or is it enough to extend the activities of the company that already exists abroad? The answer determines whether you need a Sociedad por Acciones (SpA) — Chile’s standard limited company — or a foreign company agency, and most of the decisions that follow depend on it: representation, accounting, banking and compliance.
Sociedad por Acciones (SpA)
The SpA is today the most common structure for new operations in Chile. It was created by Law N° 20.190 and is incorporated through the Registro de Empresas y Sociedades platform (known locally as “Tu Empresa en un Día”), although it can also be incorporated through a traditional notarial deed when the bylaws need more specific clauses.
Key features:
Its own assets and liability, separate from the foreign investor or parent company.
A single shareholder is enough to incorporate it; there is no minimum number of partners.
No minimum capital required by law.
Allows new shareholders to be added without necessarily restructuring the whole company.
It’s generally the form banks and investment funds prefer to see on the Chilean side of a deal.
It tends to be the right choice when the operation will hire staff in Chile, invoice locally, or when the parent company wants to ring-fence liability for whatever happens in the Chilean subsidiary.
Foreign company agency
An agency — sometimes called a branch — is not a new company. It’s a legal extension of the foreign company that already exists, enabled to operate in Chile through a locally appointed agent.
Key features:
No new entity is created: liability remains with the parent company.
Requires the parent company’s corporate documents to be formalised in Chile — properly apostilled or legalised, depending on the country of origin — and a formal agent appointed with sufficient authority.
Tends to be the more direct route when the goal is to execute a specific project or contract in Chile, without setting up a long-term separate corporate structure.
Subsequent accounting and tax compliance follows rules equivalent to those of a Chilean company, although the operation remains legally tied to the parent.
What to weigh before deciding
There’s no single right answer. In practice, the decision depends on:
Liability. Do you want to ring-fence the risk of the Chilean operation from the rest of the group, or is it acceptable for it to remain tied to the parent?
Duration and nature of the project. A project or contract with a defined end date tends to suit an agency better; an ongoing commercial operation is usually better served by an SpA.
Banking relationship. Chilean banks assess a Chilean company with identified shareholders differently from an agency of a foreign parent.
Expected tax treatment, which depends on the applicable regime and on whether a double-taxation treaty exists with the country of origin.
Growth plans. If you expect to bring in new local partners or investors, the SpA offers more structural flexibility.
One thing both paths share

Both incorporating an SpA and establishing an agency end up crossing legal, tax and banking considerations. Choosing the structure without reviewing the applicable tax regime in parallel, or without anticipating what documents a bank will ask for to open the account, usually means redoing work later.
